Terms of Service — HarbourMic Podcast Studio

1. Introduction and acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of the services, facilities, equipment, websites, booking channels, and related offerings provided by HarbourMic Podcast Studio (“HarbourMic Podcast Studio”, “we”, “us”, or “our”).

By making a booking, using our studio, engaging our production services, accessing our premises, or otherwise using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

If you are using our services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes that entity.

2. Scope of services

HarbourMic Podcast Studio provides podcast and audio-visual production services, which may include, without limitation:

  • Podcast recording studio rental;
  • Multi-camera video podcast production;
  • Audio editing and mixing;
  • Remote guest interview setup;
  • Live streaming for podcast sessions;
  • Voice-over recording; and
  • Podcast consultation and launch support.

The exact scope, deliverables, timelines, technical specifications, and fees for any engagement will be as stated in the applicable booking confirmation, quotation, invoice, service agreement, or written correspondence accepted by both parties.

We may, at our discretion, refuse, suspend, or terminate any service request where we reasonably believe it is unsafe, unlawful, technically infeasible, defamatory, infringing, abusive, or otherwise inconsistent with these Terms or our operational policies.

3. User obligations and responsibilities

You agree to:

  • Provide accurate, complete, and current information when making bookings or requesting services;
  • Arrive on time and use the studio and equipment in a careful and lawful manner;
  • Comply with all instructions, safety rules, house rules, and reasonable directions given by our staff;
  • Ensure that any content recorded, streamed, edited, or published through our services does not infringe any law, regulation, third-party right, or applicable platform policy;
  • Obtain all necessary consents, licences, permissions, and releases for guests, presenters, performers, music, images, footage, trademarks, and any other third-party materials used in your content;
  • Not bring prohibited items, hazardous materials, illegal substances, or unauthorised persons into the studio premises;
  • Use equipment only for its intended purpose and not tamper with, modify, or attempt to repair any equipment without our prior written consent;
  • Be responsible for backing up your own files and materials unless backup is expressly included in the service scope;
  • Pay all fees, charges, taxes, and applicable surcharges when due; and
  • Indemnify HarbourMic Podcast Studio against losses arising from your breach of these Terms, your unlawful conduct, or your infringement of third-party rights.

You are solely responsible for the accuracy, legality, and suitability of all content you provide or approve for recording, editing, publication, or distribution. We do not review all content for legal compliance and do not provide legal advice.

4. Payment terms and conditions

Unless otherwise agreed in writing, all fees are quoted in Singapore Dollars (SGD) and are exclusive of Goods and Services Tax (GST), which will be charged where applicable in accordance with Singapore law.

  • Bookings may require a deposit or full prepayment to confirm the reservation.
  • Invoices are payable by the due date stated on the invoice or booking confirmation.
  • Failure to pay on time may result in suspension of services, cancellation of bookings, withholding of deliverables, and/or late payment charges to the extent permitted by law.
  • Any bank charges, payment processing fees, foreign exchange costs, or transfer fees imposed by your payment method or financial institution shall be borne by you.
  • We reserve the right to revise our prices, packages, and rates at any time, but changes will not affect bookings already confirmed unless otherwise stated in writing.

Where services are billed on an hourly or project basis, any additional time, revisions, reshoots, extra editing, or out-of-scope work requested by you may be charged at our prevailing rates.

5. Cancellation and refund policy

Cancellations and rescheduling requests must be made in writing and are subject to our confirmation.

  • Studio rental and production bookings cancelled within the notice period specified in the booking confirmation may be eligible for rescheduling or partial refund, subject to administrative fees.
  • Late cancellations, no-shows, or cancellations made after work has commenced are generally non-refundable.
  • Deposits are non-refundable unless otherwise expressly stated in writing or required by applicable law.
  • If we cancel a booking due to operational reasons, we will use reasonable efforts to offer an alternative time slot or refund amounts paid for the cancelled portion of the service.
  • Refunds, where approved, will be made using the original payment method within a reasonable time, subject to processing times of financial institutions.

We are not responsible for delays, losses, or costs arising from your failure to attend, late arrival, incomplete materials, or inability to provide required approvals or access credentials on time.

6. Liability limitations

To the fullest extent permitted by Singapore law, HarbourMic Podcast Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive losses or damages, including loss of profits, loss of business, loss of data, loss of goodwill, or reputational harm, arising out of or in connection with the use of our services.

Our total aggregate liability for any claim arising out of or relating to the services shall be limited to the amount actually paid by you to HarbourMic Podcast Studio for the specific service giving rise to the claim, except where such limitation is not permitted by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability which cannot lawfully be excluded.

You acknowledge that recording, streaming, and production services may be affected by technical failures, internet outages, equipment malfunction, power interruptions, software errors, platform restrictions, or third-party service disruptions. We do not guarantee uninterrupted or error-free service.

7. Intellectual property rights

Unless otherwise agreed in writing, all intellectual property rights in our pre-existing materials, templates, workflows, methods, studio branding, equipment configurations, and proprietary know-how remain the property of HarbourMic Podcast Studio or its licensors.

Subject to full payment of all applicable fees, and unless otherwise agreed in writing, you will own the final deliverables created specifically for you, excluding our pre-existing materials, third-party content, and any licensed assets incorporated into the deliverables.

You grant HarbourMic Podcast Studio a non-exclusive, worldwide, royalty-free licence to use, reproduce, store, edit, and process your materials solely to the extent necessary to provide the services, maintain records, and exercise our rights under these Terms.

You represent and warrant that you have all necessary rights to provide any materials, recordings, music, images, logos, scripts, or other content supplied by you, and that our use of such materials in performing the services will not infringe any third-party rights.

Unless you notify us otherwise in writing before the session, you consent to our use of non-confidential behind-the-scenes images, audio clips, or excerpts of completed work for portfolio, promotional, or case-study purposes, subject to applicable law and any agreed confidentiality obligations.

8. Data protection and privacy

HarbourMic Podcast Studio collects, uses, discloses, and stores personal data in accordance with the Singapore Personal Data Protection Act 2012 (“PDPA”) and our internal data handling practices.

By using our services, you consent to our collection and use of personal data for purposes including:

  • Processing bookings, payments, and service delivery;
  • Communicating with you about your projects and account;
  • Managing studio operations, security, and access control;
  • Maintaining records, troubleshooting, and improving our services;
  • Complying with legal, regulatory, accounting, and tax obligations; and
  • Where permitted, sending service-related updates or promotional communications.

We may engage third-party service providers, including payment processors, cloud storage providers, editing tools, and streaming platforms, to support service delivery. Such providers may process personal data on our behalf or as independent controllers, subject to their own terms and policies.

You are responsible for ensuring that any personal data you provide to us, including guest details and contact information, is collected and disclosed lawfully and with appropriate notice and consent where required.

9. Force majeure

HarbourMic Podcast Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, storm, epidemic, pandemic, power failure, internet outage, equipment failure, labour disputes, civil unrest, war, terrorism, governmental action, or disruption caused by third-party suppliers or platforms.

In such circumstances, we may suspend services, reschedule bookings, or make reasonable alternative arrangements. If performance is materially affected for an extended period, either party may terminate the affected service by written notice, subject to payment for services already rendered and non-cancellable costs incurred.

10. Changes to terms

We may update or modify these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will take effect upon posting or upon notice to you, as applicable.

Your continued use of our services after any change constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, where applicable, cancel any future bookings in accordance with the cancellation policy.

11. Applicable law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore.

Subject to any mandatory legal requirements, the courts of Singapore shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or in connection with these Terms, the services, or any related matter.

13. Severability clause

If any provision of these Terms is found by a court or competent authority to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, severed from these Terms.

The remaining provisions shall continue in full force and effect. Any failure or delay by HarbourMic Podcast Studio to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

By using the services of HarbourMic Podcast Studio, you acknowledge that you have read and understood these Terms and agree to be bound by them.
